01 Introduction
Welcome to Masil. This agreement is between "Masil altiqniyah Establishment" ("Masil", "we", or "us") and the client using our services ("Client", "Merchant", or "you").
Your use of the Masil ecosystem constitutes explicit and legal agreement to all terms. If you disagree, please discontinue use immediately.
02 Nature of Service
Masil is a cloud (SaaS) restaurant operating system. Depending on your plan it includes branded ordering apps, a web storefront, a Point of Sale, a kitchen display, rider and fleet management, Inventory & Procurement, and a dashboard that ties them together.
Our role is strictly as a technology provider. You sell to your customers and buy from your suppliers; we are not a party to those transactions.
03 Plans and Add-ons
Some products — including Cloud POS and Inventory & Procurement — are add-ons. They are available on the plans that include them or enabled on request, and their fees are set out in your plan or agreed in writing with us.
Changing plans or disabling an add-on does not delete the records it created; they remain available to you as described in the Privacy Policy.
04 Merchant Obligations
- Legal Entity: The client confirms they represent a legal commercial entity with valid licenses.
- Tax Compliance: The client is solely responsible for tax obligations to ZATCA.
- Service Quality: The client bears full responsibility for product quality and dispute resolution.
- Accounts and access: You decide who on your team has access and what each role can do, and you are responsible for activity under your staff accounts.
05 Point of Sale
- You are responsible for the prices, taxes, discounts and receipt details you configure, and for the receipts issued at your counters.
- Cash handling — floats, cash in and out, and counts at shift close — is your staff's responsibility; the system records it but does not hold your money.
- Card payments are taken by your card terminal or payment provider under their own terms. We are not responsible for terminal outages, declines or settlements.
- You provide and maintain the devices, printers and internet connection the Point of Sale runs on.
06 Inventory & Procurement
- Your relationships with suppliers, the prices you agree and the purchases you make are your own. Purchase orders sent through the platform are sent on your behalf.
- Reorder suggestions, invoice matching and approval rules are tools that support your decisions; you remain responsible for approving purchases and paying suppliers.
- The purchasing ledger, stock valuation and reports are management records. They are not audited financial statements or tax filings, and do not replace your accountant.
Check supplier invoices and payment runs before you approve them. A payment released in the platform records your decision; the transfer itself happens through your bank.
07 Subscriptions & Fees
- Masil uses a fixed subscription model with zero commissions on sales.
- All fees are non-refundable once the account is activated.
- Displayed prices do not include 15% VAT.
08 App Publishing
App publishing is subject to Apple and Google store policies. Masil is not liable for delays, rejections, or suspensions caused by store decisions.
09 Intellectual Property and Data
A. Masil's IP: Masil retains all IP rights to source code and UI/UX designs.
B. Client's IP: The client owns their trademark and has 100% full ownership of end-user data.
That includes your Point of Sale transactions, customer records, supplier records and purchasing history. You can export your data at any time while your account is active.
10 Disclaimer of Liability
The service is provided "as is". We are not liable for outages caused by third-party services like payment gateways or hosting providers.
We are not liable for business decisions made on the basis of figures in the platform — including stock levels, costs, reorder suggestions and reports — or for losses from purchases, payments or cash handling carried out by your staff.
11 Suspension and Cancellation
We may suspend an account that is unpaid or used unlawfully, after notice where possible. You may cancel at the end of any billing period. On cancellation you can ask for an export of your data; financial records we must keep by law are retained as described in the Privacy Policy.
12 Governing Law
These terms are governed by the laws of the Kingdom of Saudi Arabia. Exclusive jurisdiction lies with the courts in Saudi Arabia.
